Seller’s Offer, and any order issued by Buyer to Seller for the goods and/or services specified herein, is expressly limited to Seller’s General Terms and Conditions of Sale, which can be found at www.teledyne.com/what-we-do/terms-and-conditions.

Non-US sales are not authorized through this web store. Buyers wishing to export products outside of the United States must contact Seller directly and receive express, written authorization for such sales. Such requests must be accompanied by an EUC Information form.

In the event Buyer is purchasing goods for resale within the United States, by placing an order, Buyer hereby agrees that:

Unless Buyer has a signed Distribution or Catalog Reseller Agreement with Seller, Buyer shall not represent itself as an authorized agent, representative, distributor, or partner of Seller;

  1. Buyer will not export Seller Goods outside of the 50 United States of America;
  2. Buyer shall not modify nor rebrand Seller’s Good’s without Seller’s express written authorization;
  3. The use of Seller’s logos, trademarks, trade names, Goods descriptions and images is at all times subject to approval of Seller and Seller, at its sole discretion, may compel Buyer to discontinue any such use and Buyer will promptly comply;
  4. Buyer, and any of its employees shall conduct themselves in a manner consistent with the high ethics, image, reputation, and credibility of Seller and the Goods, in compliance with all applicable laws, and Buyer shall not engage in any activities that reflect adversely on Seller or the Goods or could be prejudicial to Seller’s goodwill or commercial interest;
  5. Buyer shall not engage in any unfair trade practices, nor make any false or misleading representations with respect to Seller or the Goods.  Buyer shall refrain from communicating any information with respect to the functions, capabilities, operation, performance, use, guarantees, or warranties of the Goods, except as such are expressly authorized by Seller or as set forth in Seller's authorized literature or other promotional materials;
  6. Buyer shall not act in a way which incurs any obligations or liabilities on behalf of Seller, nor shall the Buyer enter into any agreements or contracts or make any commitments in the name of, or on behalf of, Seller, nor pledge the credit of Seller; and
  7. Buyer shall not obligate or purport to obligate the Seller by issuing or making any warranties or guarantees with respect to the Goods to any third party in excess of Seller’s published warranty.

Seller objects to any different or additional terms except, in connection with an order in furtherance of a government prime contract, those government contract clauses that are required by law to be incorporated herein.
